Agreement
THESE TERMS ARE ESSENTIAL AND AFFECT YOUR LEGAL RIGHTS, INCLUDING LIMITATIONS ON PEER 2 PEER TECHNOLOGIES' LIABILITY, CHANGES TO THESE TERMS, AND A CLASS ACTION WAIVER.

These Peer 2 Peer Technologies Service Terms, along with all referenced policies and documentation (collectively, "Terms"), govern your access, initiation, or administration ("Use(s)" or "Using") of the Peer 2 Peer Technologies service, including associated software applications (the "Service"). This agreement forms a legally-binding contract between you (or the entity you represent) and Peer 2 Peer Technologies, Inc., a Delaware corporation located at 251 Little Falls DriveWilmington, Delaware 19808, for the use of the Service.

By Using the Service, you accept these Terms. If using the Service on behalf of an entity, you warrant that you have the authority to agree to these Terms on behalf of that entity.
The Service
The Service is provided with limited support and on an 'as-is' basis. Peer 2 Peer Technologies strives for high-quality service but does not guarantee constant availability, uptime, or uninterrupted functionality. You acknowledge that (a) service continuity cannot be 100% guaranteed, and (b) the Peer 2 Peer Technologies 'Document Share' and "Document Sign" features enables secure, encrypted peer-to-peer document transfers between computers, but does not provide for any data storage. Peer 2 Peer Technologies is not liable for content transferred via 'Document Share', 'Document Sign' or for any data loss during transmission.

Peer 2 Peer Technologies reserves the right to change, modify, or discontinue the Service (in whole or part) at its discretion.

THE SERVICE SHOULD NOT BE USED WHERE FAILURE COULD RESULT IN BODILY HARM, LOSS OF LIFE, OR SIGNIFICANT PROPERTY DAMAGE, INCLUDING EMERGENCY CALLS. Peer 2 Peer Technologies is not liable for any claims arising from this limitation.
Use of the Service
You agree to use the Service in compliance with these Terms and applicable laws, including obtaining necessary consents and permissions. You are responsible for your use of the Service and any content transmitted through the Service.

Prohibited actions include:

• Disrupting the Service or other users' privacy;
• Using the Service for illegal or harmful activities;
• Infringing on intellectual property rights;
• Transmitting malicious software;
• Misrepresenting caller ID information;
• Sending unsolicited or fraudulent communications;
• Sharing inappropriate or obscene content.

Attempting unauthorized access, altering Peer 2 Peer Technologies' branding, or forwarding Service numbers to multiple-call processing systems are also prohibited.
Your Content
You retain ownership of any intellectual property rights in the content you use within the Service ('Your Content'). When you transmit, stream, communicate, or share content through the Service, you acknowledge that P2P Tech employs limited telemetry for support and operational improvement purposes. This telemetry does not grant Peer 2 Peer Technologies access to your actual content or personal information, but rather collects anonymous data related to system actions and errors. This information is used solely to enhance service reliability and user support, ensuring a seamless experience with the Service.

If you submit personal identifiers like your name or photo for your account, we may display them as part of your profile within the Service. However, you control how this information is shared through your account settings and can choose to limit the visibility of your personal information.
Privacy
At Peer 2 Peer Technologies, we respect your privacy and do not collect any personal data when you use our Service. Our privacy practices are detailed in our privacy policy, available here: Peer 2 Peer Techlologies Privacy Policy. This policy explains our commitment to safeguarding any non-personal data we may process while you use our Service. By using the Service, you acknowledge our data practices as outlined in the privacy policy.
Representations, Warranties, and Disclaimers
By using Peer 2 Peer Technologies' Service, you confirm that you are of legal age and fully capable of entering into and complying with these Terms. While we strive to prevent unauthorized access by minors, we reserve the right to terminate access if you are found to be underage or ineligible.

Peer 2 Peer Technologies delivers the Service with a reasonable level of skill and care and hopes it meets your expectations. However, we cannot guarantee certain aspects of the Service. Beyond what is explicitly stated in these Terms, Peer 2 Peer Technologies and its affiliates do not make any specific promises, warranties, or representations about the Service. For instance, we do not commit to the content's nature, the Service's specific functions, or its reliability, availability, or suitability for your needs. The Service is provided 'as is.'

In some jurisdictions, there are certain warranties like implied warranty of merchantability, fitness for a particular purpose, and non-infringement. Where legally permissible, Peer 2 Peer Technologies disclaims all such warranties.
Liability for the Service
In accordance with the law, Peer 2 Peer Technologies, along with its suppliers and distributors, is not liable for any loss of profits, revenues, data, financial losses, or for any indirect, special, consequential, exemplary, or punitive damages arising out of the use of the Service.

To the extent allowed by law, the total liability of Peer 2 Peer Technologies, its suppliers, and distributors for any claims under these Terms, including for any implied warranties, is limited to one hundred dollars (USD $100).

Peer 2 Peer Technologies, its suppliers, and distributors will not be liable for any losses or damages that are not reasonably foreseeable. This limitation of liability applies regardless of whether we have been informed of the possibility of such damages and whether the limited remedy fails its essential purpose, and it applies on a cumulative basis rather than per incident.
Business Uses of the Service
When using Peer 2 Peer Technologies’ Service for business purposes (as a 'Business User'), you agree to hold Peer 2 Peer Technologies and its affiliates, officers, agents, and employees harmless and indemnify them from any claims, actions, or suits arising from your use of the Service or any breach of these Terms. This includes covering any liabilities, losses, damages, judgments, litigation costs, and legal fees. As a Business User, you are responsible for ensuring that all participants using the Service on your behalf or resulting from your business activities comply with these Terms.
Waiver of Class Action
All parties using Peer 2 Peer Technologies’ Service agree to waive any rights to participate in a class action, collective action, private attorney general action, or any other representative proceeding ('Action'). No such Action shall be merged with another without the prior written agreement of all parties involved. If this class action waiver is found to be unenforceable or invalid, it will not apply to those specific parts of the dispute. Instead, those parts will be handled separately in a court of law.
Other (but Still Important)
Peer 2 Peer Technologies reserves the right to modify, change, amend, replace, or update these Terms, including any additional terms related to the Service, at any time. Changes will be communicated by updating the relevant web page or by direct notification. Please review these Terms regularly. Modifications will be effective either on the date they are posted on the applicable web page or the date specified in the notification.

These Terms do not confer any rights or remedies upon any third party.

If you fail to comply with these Terms and Peer 2 Peer Technologies does not take immediate action, this does not imply a waiver of any rights, such as taking action in the future.

Should any term herein be found unenforceable, this will not affect the enforceability of the remaining terms.

The laws of the State of Delaware, USA, excluding its conflict of laws rules, will govern any disputes arising from or related to these Terms or the Service. All such claims will be litigated exclusively in the federal or state courts located in Delaware, and both you and Peer 2 Peer Technologies consent to personal jurisdiction in these courts.
